The security of your information is our primary objective; therefore, we protect it by implementing and maintaining robust security measures.<\/p><p>Therefore, in compliance with our Privacy Program and applicable regulations, your personal data will be treated confidentially, through systems and schemes designed for such purposes.<\/p><ol start=\"2\"><li><strong>Data Controller Information<\/strong><\/li><\/ol><p>VMS Energy is a company incorporated under Mexican law and is responsible for processing your personal data through <strong><u>Human Talent<\/u><\/strong> at the address located at <strong><u>Paricut\u00edn Volcano 1275, El Colli Urbano, C.P. 45070, Zapopan Jalisco<\/u><\/strong><\/p><ol start=\"3\"><li><strong>Personal Data<\/strong><\/li><\/ol><p>VMS Energy may collect the following personal data from you:<\/p><ul><li>From VMS Energy customers<\/li><\/ul><p>VMS Energy may collect identification and contact information from its customers, including: company name, Federal Taxpayer Registry number, tax address (including street, exterior and interior number, neighborhood, postal code, city or municipality, and state), and business activity or line of business.<\/p><p>In addition, VMS Energy may collect operational and financial contact information, such as institutional email addresses for sales and billing departments, contact telephone numbers, the names of those responsible for accounts payable and other departments, and the information required to register the customer in internal systems. Banking information may include the bank name, account number, branch number, or standardized bank account number (CLABE).<\/p><p>Finally, artwork such as photographs of the client's assets and facilities may be required, particularly where it is necessary to verify their operational capacity or physical location for contractual or compliance purposes.<\/p><ul><li>From VMS Energy suppliers<\/li><\/ul><p>VMS Energy may collect legal, tax, commercial, and banking information from its suppliers, including: company name; date and place of incorporation; full name of the legal representative authorized to perform administrative acts, provide legal representation, and assume contractual obligations; name of the sole administrator; and names of shareholders. It may also request the Federal Taxpayer Registry number, complete tax address (including street, exterior and interior number, neighborhood or subdivision, postal code, city, municipality, and state), and the company's line of business or economic activities.<\/p><p>Regarding banking information, the name of the financial institution, bank account number, branch number, eighteen-digit Standardized Bank Code, as well as the cover of the bank account statement may be required to verify ownership and coincidence with tax data. Means of contact are also collected, such as institutional email address, contact telephone number, and, where applicable, the Registration with the public registry of specialized contractors (REPSE).<\/p><p>Additionally, information on previous experience may be requested, such as the number of contracts entered into, length of service in the market, and list of clients or companies to which services have been provided, for the purposes of technical validation or compliance with selection criteria. Finally, the positive compliance opinion issued by the Tax Administration Service is collected, and specific tax records, such as that issued by the Institute of the National Housing Fund for Workers, when necessary.<\/p><ol start=\"4\"><li><strong> Purpose of Personal Data Processing<\/strong><\/li><\/ol><p>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <strong>4.1. <\/strong>With respect to VMS Energy customers<\/p><p>The main purpose of the data collected from clients is to establish formal commercial relationships, make quotes, integrate administrative files, and formalize contracts for the provision of services or sales. Specifically, the data is used to verify that the client is a legally constituted entity and registered with the Tax Administration Service, as well as to validate its tax domicile, its line of business or business activity, and its current tax situation through proof of tax situation and compliance opinion.<\/p><p>Institutional contact data, such as emails and telephone numbers of the sales, billing and accounts payable areas, are used to maintain efficient communication with the client, facilitate the monitoring of commercial proposals and ensure the correct processing of payments. Likewise, bank details are requested to identify the institution issuing the payment, as well as to know from which account or bank the corresponding transfer will be made.<\/p><p>All this information is necessary for the proper integration of the client into the internal management systems, preparation of purchase or sale orders, generation of electronic invoices and, where appropriate, to coordinate deliveries or provision of services. In addition, it is used to ensure that customer data is updated and complete, allowing a transparent, efficient and legal commercial relationship.<\/p><p>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <strong>4.2. With respect to VMS Energy suppliers<\/strong><\/p><p>Data collected from VMS Energy suppliers is processed to verify their legal existence, commercial background, and operating capacity, as well as to validate the authenticity of the information contained in their corporate, tax, and banking documents. In particular, the data is used to confirm how long the company has operated and prequalify it based on its experience; verify that its legal name matches the name shown in quotations; validate the location of its offices and confirm that it matches the address stated in supporting documents; and identify the person authorized to sign contracts or purchase orders, including cases in which attorneys-in-fact differ from the legal representative.<\/p><p>VMS Energy also uses supplier data to verify compliance with tax, social security, and housing obligations by obtaining and reviewing tax certificates, such as the compliance opinion issued by the Tax Administration Service, as well as certificates from the National Workers' Housing Fund Institute and the Mexican Social Security Institute. The data is also used to verify the company's registration in the REPSE registry and ensure compliance with applicable outsourcing regulations, guaranteeing that assigned personnel are not improperly subcontracted.<\/p><p>Regarding banking information, this is used to validate that payments are made to the corresponding account and that the beneficiary's data coincides with the contracted company. Contact information allows you to establish and maintain ongoing communication with the supplier for administrative, contractual, logistical and compliance purposes. Finally, all the information collected is used for the purposes of preparing and formalizing contracts for the provision of services or sales, as well as to comply with the documentary requirements demanded by the parties for entry into facilities or for the execution of the contracted service.<\/p><ol start=\"5\"><li><strong> Data Transfers<\/strong><\/li><\/ol><p>The personal and corporate data collected from clients and suppliers may be shared, both inside and outside the national territory, only when strictly necessary to fulfill the purposes described in this notice and always observing the principles of confidentiality, legality, proportionality and purpose.<\/p><p>In this sense, the information may be shared with:<\/p><p>Competent tax and administrative authorities, such as the Tax Administration Service, the Mexican Social Security Institute, the Institute of the National Housing Fund for Workers, the Ministry of Labor and Social Security and other government entities, when required by applicable legal provisions or when necessary to prove compliance with tax, social security, labor or contractual obligations.<\/p><p>External auditors, legal, tax or accounting advisors, who require access to information in the course of audits, regulatory reviews, compliance with contractual obligations or preparation of technical or legal opinions, always under confidentiality agreements that guarantee the protection of the shared information.<\/p><p>Clients or final contractors, in cases where, due to contractual terms or for security reasons, it is necessary to prove the existence, experience, identity, fiscal or legal compliance of the supplier, or verify the existence and compliance of the client for the purposes of contracting or entering facilities.<\/p><p>Affiliated companies, subsidiaries, controllers or members of the same corporate group, when these entities share administrative, accounting, operational or compliance processes with the person responsible for data processing and require access to the information for purposes compatible with those established in this notice.<\/p><p>Banking or financial institutions, exclusively for the purposes of validating accounts, processing payments, reconciling transfers or returning balances, in accordance with internal payment and collection policies.<\/p><p>Providers of technological, administrative or document management services, who due to the nature of their functions have access to information for secure storage, safeguarding, digital backup, database management, electronic billing platforms or other services linked to the company's internal management systems.<\/p><p>In all cases, data transfers will be carried out in accordance with the terms of this privacy notice, as established in the respective confidentiality contracts and in accordance with the provisions of the Federal Law on Protection of Personal Data Held by Private Parties. No additional data transfers will be made without the express consent of the owner, except in cases expressly authorized by said Law.<\/p><ol start=\"6\"><li><strong> Use of Video Surveillance Cameras (V-V)<\/strong><\/li><\/ol><p>Taking into consideration that those that identify individuals or make them identifiable constitute personal data and that their processing entails any activity that may be carried out on them, including their obtaining, use, disclosure, storage, access, handling, use, transfer and disposal, the V-V involves information management of those people whose image is obtained, stored, consulted or transferred by the V-V.<\/p><p>Accordingly, VMS Energy hereby informs you that its facilities contain V-V cameras that record events in real time and that the information collected through V-V is used for the following purposes:<\/p><ul><li>Have a control mechanism for the entrances and exits of workers, collaborators, clients, suppliers and the general public.<\/li><li>To protect the safety and integrity of persons, facilities, property, and information within VMS Energy facilities and the surrounding area<\/li><li>Increase security measures in terms of civil protection, to ensure an effective response to the possible presence of a disturbing phenomenon, threat, act of God or force majeure<\/li><\/ul><p>Recordings from V-V cameras will be used internally by VMS Energy and will not be transferred to third parties unless: (I) required by law or legal process; (II) requested by competent authorities or other governmental or judicial authorities; or (III) disclosure is considered necessary to prevent harm to any person, entity, or company.<\/p><ol start=\"7\"><li><strong> Methods for Exercising ARCO Rights<\/strong><\/li><\/ol><p>In accordance with the Federal Law on the Protection of Personal Data Held by Private Parties, you may exercise your rights of access, rectification, cancellation, and objection regarding your Personal Data directly with Human Resources, located at <strong><u>Paricut\u00edn Volcano 1275, El Colli Urbano, C.P. 45070, Zapopan Jalisco <\/u><\/strong>or email <a href=\"mailto:reclutamiento@vmsenergy.com\">reclutamiento@vmsenergy.com<\/a> .<\/p><ol><li>I) Access. Information is also collected about the salary received in previous jobs and the expected level of income.<\/li><li>Tax and banking data: proof of tax situation, payroll receiving bank, bank account number and Interbancaria Clabe.<\/li><li>Medical and health data: blood type, presence of chronic, hearing, physical or degenerative diseases, relevant medical history, and, where applicable, results of medical examinations when the nature of the position requires it. Also included is the evaluation of physical fitness to perform specific tasks and the validation that the worker's health status is compatible with the assigned functions.<\/li><li>Psychological and work profile data: results of psychometric tests aimed at evaluating intelligence, personality, cognitive abilities, general aptitudes, prediction of work performance, and comparison with other profiles. These exams are intended to validate the suitability of the candidate with respect to the profile of the vacant position.<\/li><li>Socioeconomic data: housing conditions (type of housing, number of rooms, number of bathrooms, number of light bulbs, number of cars), location of the home, number of economic dependents, family structure, level of schooling in the family unit, personal habits (such as alcohol, tobacco or substance consumption), previous economic perception, and monthly expenses. This information is collected through socioeconomic studies.<\/li><li>Image data: photographs of the worker, as well as images captured by video surveillance cameras within the framework of the entry process, for access control and security purposes.<\/li><\/ul><ol start=\"4\"><li><strong> Purpose of Personal Data Processing<\/strong><\/li><\/ol><p>The personal data collected from workers is intended to allow the integration of the employment record and comply with the legal, contractual and administrative obligations derived from the employment relationship. In particular, the information is used to:<\/p><ul><li>Evaluate the suitability of the candidate for the vacant position, by verifying the academic level, skills, previous work experience, technical skills and personal conditions that are relevant to the performance of the job offered, including validation of the level of education and, where applicable, the professional license number when required by the requirements of the position.<\/li><li>Comply with social security, tax and labor provisions, including the registration of the worker with the Mexican Social Security Institute, affiliation to the Institute of the National Housing Fund for Workers, the preparation of employment contracts and the tax stamping of payroll receipts, which requires tax, banking and official identification data of the worker.<\/li><li>Implement entry control and physical security processes in facilities through identity verification, photographs of the worker and, where appropriate, images captured by video surveillance cameras during the process of entry or stay in protected facilities.<\/li><li>Carry out medical and psychometric evaluations, in those cases where the nature of the position requires it, in order to ensure that the worker's physical and mental health status is compatible with the assigned functions, as well as to foresee occupational risks, comply with safety and hygiene standards, and protect both the worker and third parties.<\/li><li>Analyze the socioeconomic context of the worker, exclusively to validate that personal and family conditions are compatible with the ethical, security or stability guidelines required by the company, as well as to assess aspects of vulnerability or adaptation in internal processes.<\/li><li>Establish operational and emergency contact mechanisms, through the collection of personal data and of third parties designated as emergency contacts, to ensure effective communication during eventualities or critical situations.<\/li><\/ul><p>In all cases, personal data is collected under principles of legality, purpose, loyalty, proportionality and responsibility, and its processing is carried out confidentially and solely for the purposes described here.<\/p><ol start=\"5\"><li><strong> Data Transfers<\/strong><\/li><\/ol><p>The personal data collected from workers may be shared, both nationally and internationally, only in those cases in which it is necessary to fulfill the purposes indicated in this notice and in accordance with the provisions of the Federal Law on Protection of Personal Data Held by Private Parties. In these cases, only the data strictly necessary to fulfill such purposes will be shared.<\/li><li>External providers of human resources, personnel administration or payroll management services, including technological platforms and labor control systems that provide recruitment, evaluation, attendance control, security, payroll, digital files or similar services, as long as they have data protection policies equivalent to those established here.<\/li><li>External auditors, legal, tax or labor advisors, in cases where it is necessary to defend the employer's legal interests, comply with audits, regulatory reviews, address labor disputes or verify internal regulatory compliance.<\/li><li>Affiliated, subsidiary or controlling companies, when there is a corporate or contractual relationship that involves sharing responsibilities in personnel administration, as long as said entities assume the same confidentiality and treatment obligations provided for in this notice.<\/li><li>Third parties who act as emergency contact, exclusively in urgent situations that require communication with people designated by the worker, whether for medical, security or civil protection reasons.<\/li><\/ul><p>In no case will personal data of workers be shared for purposes other than those established here, except when there is a legal obligation or court order, or when the worker grants express consent for different purposes.<\/p><ol start=\"6\"><li><strong> Processing of Sensitive Data<\/strong><\/li><\/ol><p>As part of the selection, hiring and maintenance of the employment relationship process, certain sensitive personal data of workers may be collected and processed, which include, among others: information about their present or future health status (such as blood type, physical, hearing or chronic diseases, medical history, psychiatric or psychological conditions), results of medical or physical fitness examinations, psychometric evaluations aimed at assessing personality, cognitive abilities and level of performance, as well as socioeconomic data that may reveal living conditions, level of income, family structure, number of economic dependents, personal habits (such as alcohol, tobacco or substance use), and housing characteristics (such as type of housing, number of rooms or services). Likewise, sensitive data is considered to be images or recordings that allow the worker to be identified when they are associated with additional confidential information.<\/p><p>Sensitive personal data will be processed only for the following specific and necessary purposes:<\/p><ul><li>Evaluate the suitability of the candidate for the position offered, based on their health conditions, psychological profile and socioeconomic context, as long as this is proportional to the demands inherent to the function to be performed.<\/li><li>Verify the physical and mental fitness of the worker to perform specific tasks, especially when these involve risks or special conditions of effort, attention, precision or exposure.<\/li><li>Comply with legal and regulatory obligations in labor, social security, occupational health and safety and hygiene at work, including what is required by the Mexican Social Security Institute and the Ministry of Labor and Social Welfare.<\/li><li>Design strategies for the prevention of occupational risks, civil protection, security in facilities or support in medical emergencies.<\/li><li>Appropriately administer employment benefits, including insurance, savings funds, medical benefits, inclusion measures or reasonable accommodations.<\/li><\/ul><p>Sensitive personal data collected from workers will not be shared with third parties, except in the following cases that are essential and justified in accordance with the law, in which case they may be shared with: (i) competent authorities in labor, health, social security or tax matters, when they formally request it in accordance with their legal powers (for example, IMSS, INFONAVIT, STPS); (ii) Medical or insurance institutions, exclusively for purposes of membership, medical care, life insurance or medical expenses, risk assessment, or compliance with worker protection obligations; (iii) Providers of occupational health services or psychometric evaluations, always under confidentiality contracts and with technical and administrative measures that guarantee the protection and safeguarding of data; (iv) People designated by the worker himself as emergency contacts or legal representatives, exclusively in cases of accident, illness or any situation that requires it.<\/p><p>All previous transfers will be carried out in accordance with the principles of legality, consent, information, quality, purpose, loyalty, proportionality and responsibility, provided for in the Federal Law on Protection of Personal Data Held by Private Parties.
